By accessing or using AI Labster's website and services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services.

We reserve the right to modify these terms at any time. Continued use of our services after changes constitutes acceptance of the new terms. We will notify you of material changes via email or prominent notice on our website.

AI Labster provides AI-powered creative services including but not limited to video production, image generation, audio synthesis, content creation, animation, brand identity development, and social media content creation.

Our services utilize artificial intelligence technologies to assist in creative production. While we strive for high quality, AI-generated content may require human review and refinement. Final deliverables are subject to the specifications agreed upon in your project scope.

Service availability and features may change without notice. We continuously improve our AI capabilities and may introduce new features or modify existing ones.

To access certain services, you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must provide accurate and complete information during registration and keep your account information updated. You may not use another person's account without permission.

We reserve the right to suspend or terminate accounts that violate these terms or engage in fraudulent or abusive behavior.

All projects begin with a discovery consultation to understand your requirements. Project scope, deliverables, timeline, and pricing are documented in a separate Statement of Work (SOW) or project proposal.

Changes to project scope after commencement may result in additional fees and timeline adjustments. All change requests must be documented and approved in writing.

We require a deposit before work begins, with remaining payments due according to the schedule outlined in your SOW. Late payments may result in project delays or suspension of services.

Upon full payment, you receive the rights to use the final deliverables as specified in your project agreement. The scope of these rights (exclusive, non-exclusive, territory, duration) is defined in your SOW.

AI Labster retains the right to showcase work in our portfolio and marketing materials unless otherwise agreed in writing. If you require confidentiality, this must be specified before project commencement.

You warrant that all materials you provide (logos, images, text, etc.) are owned by you or properly licensed. You indemnify AI Labster against any claims arising from your provided materials.

Underlying AI models, tools, techniques, and workflows developed by AI Labster remain our intellectual property and may be used for other projects.

Content created using AI technologies may be subject to limitations inherent in current AI systems. We make no guarantees about the uniqueness of AI-generated elements, as similar outputs may be possible from the same AI systems.

You are responsible for reviewing all deliverables before use to ensure they meet your requirements and do not infringe on third-party rights. AI-generated content should be reviewed for accuracy, especially factual claims.

We recommend consulting with legal counsel regarding the use of AI-generated content in regulated industries or contexts where copyright ownership is critical to your use case.

Each project includes a specified number of revision rounds as outlined in your SOW. Additional revisions beyond the included rounds will be billed at our standard hourly rate.

You agree to provide timely feedback during the revision process. Delayed feedback may affect project timelines. Feedback not received within 14 days may be considered approval.

Final approval constitutes acceptance of deliverables. Post-approval changes are considered new work and will be quoted separately.

We treat all client project information as confidential and will not share it with third parties except as necessary to perform the services (e.g., subcontractors bound by similar confidentiality terms).

For projects requiring enhanced confidentiality, we can execute a separate Non-Disclosure Agreement (NDA) upon request.

Confidentiality obligations survive the termination of our business relationship for a period of three years.

We warrant that services will be performed in a professional manner consistent with industry standards. If deliverables materially fail to conform to the agreed specifications, we will re-perform the services at no additional cost.

EXCEPT AS EXPRESSLY SET FORTH ABOVE, ALL SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that AI-generated content will be free from errors, entirely unique, or suitable for all purposes. You assume responsibility for reviewing and verifying all deliverables.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AI LABSTER'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU FOR THE SPECIFIC PROJECT GIVING RISE TO THE CLAIM.

WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

Some jurisdictions do not allow limitation of liability for certain damages. In such cases, our liability will be limited to the maximum extent permitted by applicable law.

Either party may terminate a project with 30 days written notice. Upon termination, you are responsible for payment of all work completed up to the termination date.

We may immediately terminate services if you breach these terms, fail to make required payments, or engage in conduct that is harmful to our business or reputation.

Upon termination, any licenses granted to you for incomplete work are revoked. Completed and paid-for deliverables remain subject to the license terms in your SOW.

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including natural disasters, acts of war, terrorism, pandemics, internet outages, or government actions.

If a force majeure event continues for more than 60 days, either party may terminate the affected project with prorated payment for completed work.

Any disputes arising from these terms or our services shall first be addressed through good-faith negotiation between the parties. If negotiation fails, disputes shall be resolved through binding arbitration.

Arbitration shall be conducted in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the location specified in your SOW, or remotely if agreed by both parties.

Each party bears their own costs for arbitration. The prevailing party may recover reasonable attorneys' fees as determined by the arbitrator.

These Terms of Service shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

You consent to the exclusive jurisdiction of the courts located in California for any disputes that cannot be resolved through arbitration.
